Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at ajnt.ai and the products and services offered by AJNT.AI LLC ("AJNT," "we," "us," or "our"), including ActiveContext, our dashboard, and our API (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you agree to these Terms on its behalf and represent that you have authority to do so.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.
2. Use of the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes. You agree not to:
- use the Services in violation of any law or the rights of others;
- reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law;
- interfere with or disrupt the integrity, security, or performance of the Services;
- access the Services to build a competing product, or resell the Services without our written permission;
- circumvent usage limits, billing, or access controls; or
- use the Services to generate or transmit malware, spam, or unlawful content, or in violation of the usage policies of any AI model provider you access through the Services.
3. Your content
You retain all rights to the prompts, code, files, and other content you submit to the Services and to the outputs returned to you ("Your Content"). You grant AJNT a worldwide, non-exclusive license to host, process, transmit, and store Your Content only as needed to provide and support the Services. You are responsible for Your Content and represent that you have the rights needed to submit it. Our handling of Your Content is described in our Privacy Policy.
4. Third-party services
The Services connect to third-party AI model providers and other services that you or your organization choose. Your use of those services is subject to their own terms and policies, and AJNT is not responsible for them. If you connect your own provider API keys, you are responsible for charges your provider bills to you.
5. AI output
AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing, testing, and validating any output, including code, before relying on or deploying it.
6. Fees and payment
Paid plans are billed in advance or based on usage as described at the time of purchase. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes. Except where required by law or stated otherwise, fees are non-refundable. We may change prices with notice; changes take effect at the start of your next billing period. You may cancel at any time, and cancellation takes effect as described on our pricing page.
7. Intellectual property
The Services, including all software, designs, and documentation, are owned by AJNT and its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you. If you send us feedback, we may use it without obligation to you.
8. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if necessary to protect the Services or others. On termination, your right to use the Services ends, and sections that by their nature should survive will survive.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SAVINGS OR PERFORMANCE RESULTS WILL BE ACHIEVED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJNT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. AJNT'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO AJNT IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You will defend, indemnify, and hold harmless AJNT and its officers, members, and employees from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms or applicable law.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the effective date above and, where appropriate, by email or a notice in the Services. Continued use of the Services after changes take effect means you accept the updated Terms.
14. General
These Terms, together with our Privacy Policy and any order form you sign, are the entire agreement between you and AJNT regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
